Packz.io Terms of Service

1. Introduction

These Terms of Service (the “Terms”) are a legal agreement between you (“you,” “your,” or “User”) and Packz, Inc., a Delaware corporation with its principal place of business at 33 Irving Place, Suite 8105, New York, NY 10003 (“Packz,” “we,” “us,” or “our”). These Terms govern your use of our website at https://www.packz.io/ (the “Website”) and all services we provide (collectively, the “Service”).

By using the Service, including purchasing or opening digital packs, revealing collectible cards, requesting shipment, or accepting a cash-out offer, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

We may update these Terms at any time. When we do, we will update the “Last Updated” date and may provide additional notice. Your continued use of the Service after changes take effect means you accept the updated Terms.

2. What We Do

Packz.io allows users to buy and open digital card packs with predefined odds. Each pack contains a single graded collectible card, such as a sports card or Pokémon card, of varying market value. The specific card you receive is determined randomly based on the posted odds for that pack.

Pack odds are displayed on each pack’s individual product page. The expected value range of the cards available from each pack is equal to the purchase price of that pack.

Once your card is revealed, you may:

  1. Request shipment of the physical card to your address, or
  2. Accept our 90% Cash-Out Offer, receiving payment equal to 90% of the fair market value we assign to the card.

We store cards until you choose shipment or cash-out. Cards are graded by third-party grading companies. We do not guarantee any grade, condition, or future market value.

3. Buying Packs and Making Payments

  • All sales are final. Once a pack is opened, it cannot be refunded.
  • Accepted payment methods will be shown at checkout. You are responsible for ensuring you have sufficient funds.
  • Prices include applicable sales taxes unless otherwise stated.
  • We may change prices before a purchase is completed.
  • Odds for pack contents are displayed on the product page and outcomes are random within those odds.

4. The Cash-Out Option

  • The Cash-Out Offer is equal to 90% of the fair market value as determined solely by Packz.io
  • Fair market value is determined using recent comparable sales and other market data, along with grading and other proprietary factors.
  • When you accept the Cash-Out Offer, we initiate the payment immediately, but the actual transfer of funds is dependent on our partnered payment provider’s processing times.
  • We may charge an additional service fee for processing the cash-out option.
  • Accepting the offer transfers ownership of the card to Packz.io and cannot be reversed.

5. Shipping and Delivery

  • You must provide accurate shipping details. We are not responsible for lost items due to incorrect addresses.
  • Shipping fees will be disclosed when you request shipment.
  • We typically ship within three business days after confirming your request and verifying your account. However, we reserve the right to take longer in unforeseen circumstances.
  • Risk of loss passes to you once the item is delivered to the shipping carrier; however, all packages are insured up to their declared value.

6. Eligibility and Accounts

  • You must be at least 18 years old, or the legal age of majority in your jurisdiction, to use the Service.
  • You are responsible for keeping your account credentials secure and for all activity under your account.
  • You may not use another person’s account without permission.

7. Acceptable Use

You agree not to:

  • Interfere with or disrupt the Service.
  • Use automated tools to purchase or open packs.
  • Attempt to manipulate pack results or valuations.
  • Engage in fraudulent, abusive, or illegal activity.

8. Intellectual Property

All content on the Service, including logos, designs, images, text, and software, belongs to Packz.io or its licensors and is protected by law. You may not use our content without our written permission.

9. Risks and Disclaimers

You acknowledge that:

  • We do not guarantee the specific card you will receive or its value.
  • Card values may change over time.
  • Fair market value is determined using recent comparable sales and other market data, along with grading and other proprietary factors, and may differ from prices you could obtain independently.
  • Grading is done by independent companies, and we are not responsible for grading decisions.
  • You accept the risk that the value of a card may change between the time it is revealed and the time it is shipped or cashed out.

The Service and all content are provided “as is” and without warranties of any kind.

10. Limitation of Liability

To the fullest extent allowed by law, Packz.io will not be liable for indirect, incidental, consequential, special, or punitive damages. Our total liability for any claim will not exceed the greater of $100 or the amount you paid for the pack related to the claim.

11. Dispute Resolution and Arbitration Agreement

Agreement to Arbitrate

Any dispute or claim relating to these Terms or your use of the Service will be resolved through binding arbitration instead of in court, except you may bring a qualifying claim in small claims court.

Rules

The arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules if the dispute is under $250,000, or under its Commercial Arbitration Rules otherwise. AAA rules are available at www.adr.org.

No Class Actions

Disputes will be resolved only on an individual basis. You may not bring claims as a plaintiff or class member in any class, consolidated, or representative action.

Opt-Out

You may opt out of this arbitration agreement within 30 days of accepting these Terms by emailing legal@packz.io with your name, address, and account information.

12. Changes to the Service

We may modify, suspend, or discontinue the Service at any time without liability to you.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
